PRICES
All prices are net wholesale FOB warehouse, New York City, New York, and do not include shipping, packing, installation, storage, insurance charges or taxes. Prices and specifications are subject to change without notice.

TERMS
Sina Pearson Textiles' standard terms are 50% deposit accompanying orders and the balance (including shipping charges and taxes) prior to shipment.

CREDIT
Sina Pearson Textiles is a Proforma company (full payment is required before shipment). We accept MasterCard/Visa.

ORDERS
Please order all fabrics by pattern number, name, and color. All orders must be confirmed in writing, and sent to Sina Pearson Textiles, 150 Varick Street, New York, New York 10013 or faxed to Sina Pearson Textiles 212/366-1388. Orders should include shipping instructions, specifying firm, address and package markings, any special finish instructions and reserve number, if applicable. Fabric will not be released from a reserve without a confirming number. Confirmations of telephone and fax orders must be so labeled as to avoid duplication.Orders shall be considered accepted only after issuance of a formal order confirmation or invoice. Orders are subject to terms and conditions set forth herein and in the order confirmation only. The order confirmation supercedes all other previous communications and may not be modified except by issuance of revised order confirmation. No orders are binding on Sina Pearson Textiles until issuance of the order confirmation. All fabrics are sold in 1/8 yd. increments, 2 yard minimum per colorway. As an accommodation, we will proces orders of 1 to 1 7/8 yards for an additional cutting fee of $25 per colorway.

RESERVE YARDAGE
Sina Pearson Textiles will, at its discretion, reserve fabric for its customers for up to 10 days. Fabric may only be reserved through Sina Pearson Textiles' sales representatives. Please contact the sales representative in your area.

CHANGE ORDERS AND CANCELLATIONS
All reasonable requests for changes will be honored if received in writing prior to fabric being cut and in time to make the change. Sina Pearson Textiles reserves the right to charge for labor and administrative costs for order changes.Confirmed orders may not be cancelled without written consent of Sina Pearson Textiles. If approved, cancelled orders are subject to a 25% handling charge. No changes or cancellations are accepted once fabric has been cut or manufacturing has begun.

RETURNS
No merchandise may be returned without Sina Pearson Textiles' written consent, shipping instructions and authorized return label affixed to outside of package. Unauthorized returns will not be accepted and will be returned freight collect. Authorized returns will be subject to a 25% restocking charge plus all freight charges, and must be in reusable condition. Fabric lengths of less than 10 yards may not be returned. Under no circumstances will cut or treated fabric be accepted for return.

SHIPMENT AND DELIVERY
Shipping instructions should be included with the order. If no instructions are given, Sina Pearson Textiles reserves the right to ship by what is in its opinion the best way. Partial shipments may be made at the discretion of Sina Pearson Textiles, and invoiced accordingly. The customer is responsible for loss or damage of merchandise after leaving Sina Pearson Textiles' warehouse. Sina Pearson Textiles is not liable for any delay or failure to deliver or perform due to delay of sources of supply, transportation difficulties, accidents, war, riot, fires, acts of God, compliance with government regulations, or any other causes beyond Sina Pearson Textiles' control.

STORAGE
If customer cannot accept delivery when ready for shipment, Sina Pearson Textiles reserves the right to transfer merchandise to storage. All costs including shipping will be at customer's expense. Sina Pearson Textiles may deem such transfer as delivery for all purposes including invoicing and payment. Customer will bear all responsibility for loss or damage during storage.

CLAIMS
All Sina Pearson Textiles' fabrics have been carefully inspected before leaving its warehouse. Upon receipt of merchandise, the customer should inspect package carefully for damage, and note any such damage on delivery receipt. Any damage or loss must be reported to the carrier by the customer within 5 days. Packing material should be kept until inspection is made. Inspect fabric carefully before cutting. Failure to make a claim to Sina Pearson Textiles within 10 days shall constitute acceptance of fabric and waiver of any such shortages errors or other claims. Sina Pearson Textiles is not liable for claims against any defects once fabric has been cut.

CUTTING FOR APPROVAL
Sina Pearson Textiles maintains the strictest standards of quality control and color matching between dye lots. However, Sina Pearson Textiles does not guarantee exact color match to any sample. Sina Pearson Textiles reserves the authority to make final determinations of whether a successful commercial color match has been achieved. Cutting for approval will be sent upon request and receipt of order.

SAMPLES
Sina Pearson Textiles' fabrics are sampled in 3" x 3" pegboard cuttings and 8" x 8" memos. 27" x 36" presentation samples may be requested through a sales representative. All memos and larger samples are are available on a 30 day loan and must be returned. Memo samples not returned will be billed at current price. Samples are available from local sales representative or from the New York office. Due to slight variations in dyestuffs and fibers, samples may not match existing inventory.

FABRIC MAINTENANCE
Sina Pearson Textiles recommends professional cleaning for all its fabrics. Regular vacuuming to remove dust is also recommended. Please refer to specific fabric care instructions for more details.

WARRANTY
Sina Pearson Textiles does not guarantee or warrant and does not accept any responsibility whatsoever by reason of its fabrics' fading, crocking, wear abrasion, shrinking, stretching, seam slippage, tearing, discoloration from liquid contact or alteration in color due to any finish treatment. When a pile fabric (velvet) is applied directly to foam rubber, Sina Pearson Textiles is not responsible for subsequent pile loss. Sina Pearson Textiles' fabrics are not intended for use in wearing apparel. Sina Pearson Textiles is not responsible for dye lot differences or discrepancies in fabric widths. Fibers and/or yarns may be substituted at our discretion. Sina Pearson Textiles does not guarantee or warrant an exact match to cuttings or memos.

In any event, Sina Pearson Textiles' responsibility shall be limited to either replacement of merchandise or refund of purchase price at the option of Sina Pearson Textiles. The foregoing constitutes the sole and exclusive remedy of the customer. In no event shall Sina Pearson Textiles be responsible for any consequential damages or any charges, cost, expenses, or obligations other than as expressly herein set forth.

Other than as is herein expressly set forth, Sina Pearson Textiles makes no other warranties, expressed or implied, as to any product sold by Sina Pearson Textiles and all such other warranties are hereby excluded. Without limiting the generality of the foregoing, Sina Pearson Textiles makes no warranty of merchantability or fitness for any purpose either expressly or by implication.
